General Terms and Conditions – Sales and Services

The version in German language of these Terms of Delivery shall be legally binding in all respects and shall be applied in the case of contradictions. (14.4)

  1. Allgemeines, Geltungsbereich
    1. Der Verkauf und die Lieferung der Produkte („Liefergegenstandoder „Liefergegenstände“) sowie Dienstleistungen der Workaround GmbH, Rupert-Mayer-Straße 44, 81379 München, Deutschland („Workaround“) erfolgen ausschließlich auf der Grundlage dieser Allgemeinen Geschäftsbedingungen („Lieferbedingungen“), die der Kunde von der Workaround GmbH („Kunde“) durch die Annahme des Angebots oder die Entgegennahme der Lieferung anerkennt. Sie gelten auch für alle zukünftigen Geschäfte mit dem Kunden, bis die Parteien aktuellere Lieferbedingungen vereinbart haben. Die Geltung entgegenstehender oder ergänzender Geschäftsbedingungen des Kunden ist ausgeschlossen, auch wenn Workaround diesen nicht ausdrücklich widerspricht.
    2. Die von Workaround vertriebenen Liefergegenstände richten sich ausschließlich an Unternehmer im Sinne des § 14 BGB. Der Kunde erklärt durch Annahme dieser Lieferbedingungen, dass er in Ausübung seiner gewerblichen Tätigkeit auftritt.
  2. Vertragsschluss, Vertragsinhalt
      Die Angebote von Workaround sind freibleibend. Ein Vertrag kommt erst durch Unterzeichnung des Angebotsdokuments durch beide Parteien zustande und richtet sich ausschließlich nach dem Inhalt dieses Angebotsdokuments und diesen Lieferbedingungen sowie gegebenenfalls in diesen Dokumenten referenzierte weitere Dokumente. Mündliche Abreden oder Zusagen bedürfen zu ihrer Wirksamkeit der schriftlichen Bestätigung durch vertretungsberechtigte Mitarbeiter von Workaround.
  3. Warenbeschreibungen, Angebotsunterlagen, Änderungsvorbehalt
    1. Workaround ist verpflichtet, den Liefergegenstand in der vereinbarten Beschaffenheit zu übergeben. Die vereinbarte Beschaffenheit bemisst sich ausschließlich nach den zwischen den Parteien schriftlich getroffenen Vereinbarungen über die Eigenschaften, Merkmale und Leistungscharakteristika des Liefergegenstandes. Für die Beschaffenheit des Liefergegenstandes übernimmt Workaround keine Garantie im Rechtssinne. Angaben in Katalogen, Preislisten, Prospekten und sonstigem dem Kunden von Workaround überlassenen Informationsmaterial, sind weder als Garantie noch als Beschaffenheitsangabe zu verstehen. Garantien müssen ausdrücklich und schriftlich vereinbart werden.
    2. Workaround behält sich alle gewerblichen Schutzrechte an den Liefergegenständen (insbesondere gegebenenfalls bestehende, Urheber-, Patent-, Namens- und gewerbliche Schutzrechte), an den Verkaufsunterlagen (insbesondere Abbildungen, Zeichnungen, Gewichts- und Maßangaben) und den Mustern vor. Verkaufsunterlagen und Muster dürfen nicht für vertragsfremde Zwecke genutzt werden und sind Workaround auf Aufforderung unverzüglich zurückzugeben. Verkaufsunterlagen und Muster dürfen nur nach vorheriger schriftlicher Zustimmung von Workaround an Dritte weitergeben werden.
    3. Workaround behält sich Konstruktions- und Materialänderungen vor, soweit dadurch die vereinbarte Funktion nicht verschlechtert wird. Weitergehende Änderungen bedürfen der Zustimmung des Kunden.
  4. Liefer- und Leistungsfristen und -termine
    1. Liefer- und Leistungsfristen und –termine sind nur verbindlich, wenn sie von Workaround ausdrücklich schriftlich bestätigt wurden.
    2. Vereinbarte Liefer- und Leistungsfristen beginnen mit dem Datum des Vertragsschlusses, jedoch nicht vor der Beibringung der vom Kunden zu beschaffenden Unterlagen, Genehmigungen, Freigaben, Informationen und der vollständigen Klärung etwaiger vom Kunden zu beantwortender produktbezogener Fragen, sowie gegebenenfalls vereinbarter Anzahlungen oder Sicherheiten.
    3. Liefer- und Leistungsfristen sind eingehalten, wenn vor ihrem Ablauf die den Gefahrübergang bewirkenden Umstände eingetreten sind. Entsprechendes gilt für die Einhaltung der Liefer- und Leistungstermine. Bei Lieferverzögerungen, die Workaround zu vertreten hat, haftet Workaround nur in dem in Ziffer 9 genannten Umfang.
    4. Die Liefer- und Leistungsfristen und -termine verlängern bzw. verschieben sich – auch während eines Verzugs – bei unvorhersehbaren, unvermeidbaren und außerhalb des Einflussbereichs von Workaround liegenden und von Workaround nicht zu vertretenden Ereignissen, wie höherer Gewalt, Naturkatastrophen, behördlicher Anordnungen oder gewerkschaftlichen Arbeitskämpfen um die Dauer der Störung. Beginn und Ende der Störung teilt Workaround dem Kunden baldmöglichst mit. Wenn die Störung länger als drei Monate dauert oder feststeht, dass sie länger als drei Monate dauern wird, können beide Vertragsparteien innerhalb von 14 Tagen nach Kenntnis von der Dauer der Störung vom Vertrag zurücktreten. Bei Liefergegenständen oder Teilen hiervon, die Workaround nicht selbst herstellt, ist die richtige und rechtzeitige Selbstbelieferung vorbehalten. Workaround ist verpflichtet, den Kunden unverzüglich über Lieferverzögerungen zu informieren, die sich durch Vertragsbruch von Zulieferern ergeben.
    5. Für den Fall, dass der Kunde sich in Bezug auf die Liefergegenstände in Annahmeverzug befindet oder schuldhaft sonstige Mitwirkungspflichten verletzt, ist Workaround berechtigt, dem Kunden sämtliche, Workaround hierdurch entstandenen erforderlichen Mehraufwendungen, in Rechnung zu stellen. Bei Lagerung in den Räumen von Workaround wird ein Lagergeld in üblicher Höhe berechnet.
  5. Lieferumfang, Versand, Gefahrübergang, Transportversicherung
    1. Die in den Angebotsunterlagen von Workaround genannten Maß- und Gewichtsangaben sowie sonstige technische Daten des Liefergegenstandes stellen, soweit dies technisch bedingt und branchenüblich ist, Annäherungswerte dar.
    2. Workaround kann aus begründetem Anlass Teillieferungen und/oder -leistungen vornehmen, sofern dies dem Kunden zumutbar ist.
    3. Der Lieferort bestimmt sich nach den zwischen Workaround und dem Kunden vereinbarten Lieferklauseln, die nach der jeweils aktuellen Fassung der Incoterms auszulegen sind. Soweit keine besondere Lieferklausel vereinbart worden ist, erfolgt die Lieferung stets „ab Werk“ (EXW) gemäß der aktuellen Fassung der Incoterms am Sitz von Workaround. Die Wahl der Versandart und des Versandweges liegen im freien Ermessen von Workaround.
    4. Der Abschluss einer Transportversicherung erfolgt nur auf Wunsch und auf Kosten des Kunden.
  6. Preise
    1. Der Kunde ist verpflichtet, den zwischen den Parteien vereinbarten Preis, wie im Angebotsdokument gem. Ziffer 2 der Lieferbedingungen festgelegt, unter Einhaltung der Zahlungsbedingungen gem. Ziffer 7 zu zahlen. Haben die Parteien keinen bestimmten Preis vereinbart, so bestimmt sich der Preis nach der zum Zeitpunkt des Vertragsschlusses gültigen Preisliste von Workaround.
    2. Preisangaben verstehen sich mangels besonderer Vereinbarung „ab Werk“ (EXW) zuzüglich Verpackung, Versand, Versicherung, etwaiger Zölle sowie der mit der Lieferung verbundenen Steuern und sonstigen Abgaben.
  7. Zahlungsbedingungen, Kreditwürdigkeit des Kunden
    1. Soweit nichts anderes vereinbart ist, werden Forderungen aus dem Verkauf von Liefergegenständen mit Lieferung des jeweiligen Liefergegenstandes und sonstige Forderungen mit Zugang der jeweiligen Rechnung fällig. Die Zahlung gilt erst dann als erfolgt, wenn Workaround über den Betrag regressfrei verfügen kann (Zahlungseingang).
    2. Workaround ist berechtigt, für Teillieferungen und/oder – leistungen im Sinne der Ziffer 5.2 Teilrechnungen zu erstellen.
    3. Der Kunde ist zur Aufrechnung nur berechtigt, wenn sein Gegenanspruch unbestritten oder rechtskräftig festgestellt ist.
    4. Der Kunde ist zur Geltendmachung eines Zurückbehaltungsrechts nur insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertrag beruht und unbestritten oder rechtskräftig festgestellt ist.
    5. Befindet sich der Kunde im Zahlungsverzug, ist Workaround – unbeschadet sonstiger Rechtsbehelfe – berechtigt, Zinsen in Höhe von 9 % p. a. über dem Basiszinssatz der Europäischen Zentralbank zu verlangen. Die Geltendmachung eines weiteren Verzugsschadens bleibt unberührt.
    6. Werden Workaround nach Vertragsschluss Umstände bekannt, die begründete Zweifel an der Zahlungsfähigkeit oder Kreditwürdigkeit des Kunden rechtfertigen und aufgrund derer eine Gefährdung des Zahlungsanspruches von Workaround aus dem Vertrag besteht, ist Workaround berechtigt, noch ausstehende Lieferungen und/oder Leistungen nur dann auszuführen, wenn der Kunde eine Vorauszahlung oder Sicherheitsleistung leistet und der Kunde etwaige andere fällige Forderungen aus der Geschäftsverbindung, die in einem wirtschaftlichen Zusammenhang mit dem Vertrag stehen, beglichen hat. Ferner ist Workaround berechtigt, von dem Vertrag ganz oder teilweise zurückzutreten und Schadensersatz zu verlangen, sofern der Kunde die vorstehenden Leistungen nach Ablauf einer angemessenen Frist nicht erbringt. Die Geltendmachung weiterer Rechte durch Workaround bleibt hiervon unberührt.
    7. Soweit nichts anderes vereinbart wird, tilgen die bei Workaround eingehenden Zahlungen des Kunden dessen Schulden in der Reihenfolge ihrer Fälligkeit gemäß Ziffer 7.1.
    8. Der Lieferant hat das Recht, seine Forderungen gegen den Abnehmer an einen Dritten abzutreten.
    9. Ist der Abnehmer in Zahlungsverzug mit einer Forderung, so können alle übrigen Forderungen gegen den Abnehmer fällig gestellt werden.
    10. Der Abnehmer hat alle Gebühren, Kosten und Auslagen zu tragen, die im Zusammenhang mit jeder gegen ihn rechtlich erfolgreichen Rechtsverfolgung außerhalb Deutschlands anfallen.
  8. Mängelrechte, Untersuchungspflicht
    1. Der Kunde hat die Liefergegenstände unverzüglich nach deren Ablieferung an den Kunden zu untersuchen und etwaige bei Ablieferung der Liefergegenstände erkennbare Mängel unverzüglich, spätestens innerhalb einer Woche nach Ablieferung, Workaround schriftlich anzuzeigen und dabei die Art des Mangels genau zu bezeichnen. Verdeckte Mängel hat der Kunde Workaround innerhalb einer Frist von einer Woche ab Feststellung des jeweiligen Mangels schriftlich anzuzeigen. Anderenfalls verliert der Kunde in Bezug auf diese Mängel seine Mängelansprüche. Für die Einhaltung der vorgenannten Wochenfristen genügt die rechtzeitige Absendung der schriftlichen Mängelanzeige durch den Kunden, sofern die fristgemäß abgesandte Mängelanzeige Workaround auch nach üblichen Postlaufzeiten tatsächlich zugegangen ist.
    2. Bei jeder Mangelrüge steht Workaround das Recht zur Besichtigung und Prüfung des beanstandeten Liefergegenstandes zu. Dafür wird der Kunde Workaround die notwendige Zeit und Gelegenheit einräumen. Kann nach einer Mängelanzeige des Kunden ein Mangel des Liefergegenstandes nicht festgestellt werden, hat der Kunde Workaround die im Zusammenhang mit der Prüfung des Liefergegenstandes entstandenen Kosten zu ersetzen, wenn die unberechtigte Mängelanzeige auf ein Verschulden des Kunden zurückzuführen ist.
    3. Im Falle der Mangelhaftigkeit des Liefergegenstandes ist Workaround berechtigt, den Mangel im Wege der Nacherfüllung durch Nachbesserung oder Ersatzlieferung zu beseitigen. Hat Workaround die Nacherfüllung verweigert, ist sie fehlgeschlagen oder Workaround unzumutbar, so ist der Kunde nach seiner Wahl berechtigt, nach den gesetzlichen Vorschriften, von dem Vertrag zurückzutreten oder den Kaufpreis zu mindern. Workaround haftet für Schäden wegen Mangelhaftigkeit des Liefergegenstandes nur in dem in Ziffer 9 genannten Umfang. Darüber hinaus bestehende gesetzliche Mängelhaftungsrechte sind ausgeschlossen. Hiervon unberührt bleiben die §§ 478 f. BGB.
    4. Der Kunde ist verpflichtet, Workaround schriftlich zur Nacherfüllung unter Angabe der Nacherfüllungsfrist aufzufordern.
    5. Die Abweichend von § 438 Abs. 1 Nr. 3 BGB beträgt die allgemeine Verjährungsfrist für Ansprüche aus Sach- und Rechtsmängeln ein Jahr ab Ablieferung. Soweit eine Abnahme vereinbart ist, beginnt die Verjährung mit der Abnahme. Die vorstehenden Verjährungsfristen des Kaufrechts gelten auch für vertragliche und außervertragliche Schadensersatzansprüche des Kunden, die auf einem Mangel der Ware beruhen, es sei denn die Anwendung der regelmäßigen gesetzlichen Verjährung (§§ 195, 199 BGB) würde im Einzelfall zu einer kürzeren Verjährung führen. Schadensersatzansprüche des Kunden gem. § 9 Abs. 1 Satz 1 und Satz 2(a) sowie nach dem Produkthaftungsgesetz verjähren jedoch ausschließlich nach den gesetzlichen Verjährungsfristen.
  9. Haftung, Schadensersatz
    1. Soweit sich aus diesen AGB einschließlich der nachfolgenden Bestimmungen nichts anderes ergibt, haftet Workaround bei einer Verletzung von vertraglichen und außervertraglichen Pflichten nach den gesetzlichen Vorschriften.
    2. Auf Schadensersatz haftet Workaround – gleich aus welchem Rechtsgrund – im Rahmen der Verschuldenshaftung bei Vorsatz und grober Fahrlässigkeit. Bei einfacher Fahrlässigkeit haftet Workaround vorbehaltlich eines milderen Haftungsmaßstabs nach gesetzlichen Vorschriften (z.B. für Sorgfalt in eigenen Angelegenheiten) nur
      1. für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit,
      2. für Schäden aus der nicht unerheblichen Verletzung einer wesentlichen Vertragspflicht (Verpflichtung, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertraut und vertrauen darf); in diesem Fall ist die Haftung von Workaround jedoch auf den Ersatz des vorhersehbaren, typischerweise eintretenden Schadens begrenzt.
    3. Die sich aus Abs. 2 ergebenden Haftungsbeschränkungen gelten auch bei Pflichtverletzungen durch bzw. zugunsten von Personen, deren Verschulden Workaround nach gesetzlichen Vorschriften zu vertreten hat. Sie gelten nicht, soweit Workaround einen Mangel arglistig verschwiegen oder eine Garantie für die Beschaffenheit der Ware übernommen hat und für Ansprüche des Kunden nach dem Produkthaftungsgesetz.
    4. Wegen einer Pflichtverletzung, die nicht in einem Mangel besteht, kann der Kunde nur zurücktreten oder kündigen, wenn Workaround die Pflichtverletzung zu vertreten hat. Ein freies Kündigungsrecht des Kunden (insbesondere gem. §§ 650, 648 BGB) wird ausgeschlossen. Im Übrigen gelten die gesetzlichen Voraussetzungen und Rechtsfolgen.
  10. Eigentumsvorbehalt
    1. Workaround behält sich bis zur vollständigen Bezahlung sämtlicher Forderungen aus der Geschäftsverbindung mit dem Kunden das Eigentum an den Liefergegenständen vor. Wurde mit dem Kunden eine Kontokorrentabrede vereinbart, besteht der Eigentumsvorbehalt bis zur vollständigen Begleichung des anerkannten Kontokorrentsaldos.
    2. Der Kunde ist verpflichtet, die unter Eigentumsvorbehalt gelieferten Liefergegenstände (im Folgenden „Vorbehaltsware“) für die Dauer des Eigentumsvorbehaltes sorgfältig zu behandeln und Workaround bei Pfändung, Beschlagnahme, Beschädigung und Abhandenkommen unverzüglich zu unterrichten.
    3. Bei Zahlungsverzug des Kunden mit einem nicht unerheblichen Teil seiner Verpflichtungen, ist Workaround zur einstweiligen Zurücknahme der Vorbehaltsware berechtigt. Die durch die Ausübung des Zurücknahmerechts entstehenden Kosten (insbesondere für Transport und Lagerung), trägt der Kunde, wenn Workaround die Zurücknahme dem Kunden mit ange- messener Frist angedroht hat. Workaround ist berechtigt, die zurückgenommene Vorbehaltsware zu verwerten und sich aus deren Erlös zu befriedigen, sofern Workaround die Verwertung zuvor dem Kunden mit angemessener Frist angedroht hat. Nach Ablauf der angemessenen Frist ist der Kunde verpflichtet, Workaround oder den Beauftragten von Workaround sofort Zugang zu den Vorbehaltswaren zu gewähren und diese herauszugeben.
    4. Eine Verarbeitung oder Umbildung der Vorbehaltsware durch den Kunden erfolgt stets für Workaround. Wird die Vorbehaltsware mit anderen Gegenständen verarbeitet, so erwirbt Workaround das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltsware zu den anderen verarbeiteten Gegenständen zur Zeit der Verarbeitung. Für die durch Verarbeitung entstehende Sache gilt im Übrigen das gleiche wie für die unter Eigentumsvorbehalt gelieferten Liefergegenstände.
    5. Wird die Vorbehaltsware mit anderen Gegenständen verbunden, so erwirbt Workaround das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltsware zu den anderen Gegenständen zum Zeitpunkt der Verbindung. Erfolgt die Verbindung in der Weise, dass der andere Gegenstand als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Kunde Workaround anteilsmäßig Miteigentum an der neuen Sache überträgt. Gleiches gilt, wenn die Vorbehaltsware mit einem Grundstück oder Gebäude dergestalt verbunden wird, dass sie wesentlicher Bestandteil des Grundstücks oder Gebäudes wird. Der Kunde verwahrt das Miteigentum von Workaround unentgeltlich. Für die durch Verbindung entstehende neue Sache gilt im Übrigen das gleiche wie für die unter Eigentumsvorbehalt gelieferten Liefergegenstände.
    6. Übersteigt der realisierbare Wert von Workaround nach den vorgenannten Bestimmungen eingeräumten Sicherheiten die Forderungen gegen den Kunden nicht nur vorübergehend um mehr als 10 %, wird Workaround insoweit Sicherheiten nach eigener Wahl auf Verlangen des Kunden freigeben.
    7. Bei Lieferungen in andere Rechtsordnungen, in denen die Eigentumsvorbehaltsregelungen in dieser Ziffer 10 nicht die gleiche Sicherungswirkung haben wie in Deutschland, wird der Kunde alles tun, um Workaround unverzüglich entsprechende Sicherungsrechte zu bestellen. Der Kunde wird an allen Maßnahmen wie beispielsweise Registrierung, Publikation usw. mitwirken, die für die Wirksamkeit und Durchsetzbarkeit derartiger Sicherungsrechte notwendig und förderlich sind.
    8. Auf Verlangen von Workaround ist der Kunde verpflichtet, die Vorbehaltsware gegen übliche Risiken angemessen zu versichern, Workaround den entsprechenden Versicherungsnachweis zu erbringen und die Ansprüche aus dem Versicherungsvertrag in der Höhe des Wertes der Vorbehaltswaren an Workaround abzutreten.
  11. Gewerbliche Schutzrechte
    1. Der Kunde erhält das nicht ausschließliche und nicht übertragbare, dauerhafte, nicht unterlizenzierbare Recht, die Software, einschließlich Firmware, des Liefergegenstandes in Zusammenhang mit dem Betrieb des Liefergegenstandes zu nutzen.
    2. Der Kunde ist nicht berechtigt, die Nutzungsrechte an der Software des Liefergegenstandes getrennt vom Liefergegenstand ohne schriftliche Zustimmung von Workaround auf Dauer oder vorübergehend, durch Übertragung auf Dritte oder im Wege der Erteilung von Unterlizenzen Dritten zu überlassen, sonst zugänglich zu machen oder für andere Zwecke als die vereinbarte Nutzung zu verwenden
    3. Schreibt der Kunde durch bestimmte Anweisungen Angaben, Unterlagen, Entwürfe oder Zeichnungen („Anweisungen“) vor, wie Workaround die zu liefernden Produkte fertigen soll, so garantiert der Kunde, dass durch die Ausführung der Anweisungen keine RechteDritter wie Patente, Gebrauchsmuster und sonstige Schutz- und Urheberrechte verletzt werden. Der Kunde stellt Workaround von allen Ansprüchen Dritter frei, die diese wegen einer solchen Verletzung gegen Workaround geltend machen und räumt Workaround das nicht ausschließliche und nicht übertragbare, dauerhafte, unterlizenzierbare Recht ein, die Anweisungen in Zusammenhang mit der Erfüllung des Vertrags zu nutzen.
    4. Den Parteien ist bekannt, dass sie im Rahmen des Vertrages Zugang zu bestimmten vertraulichen Informationen der anderen Partei oder vertraulichen Informationen von Dritten haben, zu deren vertraulicher Behandlung die offen legende Partei verpflichtet ist. Beide Parteien erkennen an, dass die offen legende Partei bzw. der Dritte Inhaber aller Rechte an vertraulichen Informationen bleibt.
    5. Sofern im Zusammenhang mit der Lieferung und/oder im Rahmen der Zusammenarbeit zwischen den Parteien Erkenntnisse, Ergebnisse oder Know-how zum Produkt oder den Services von Workaround entstehen („Produkterkenntnisse“), soll Workaround alleinige Inhaberin bzw. ausschließlich Berechtigte an diesen Produkterkenntnissen sein. Der Kunde überträgt sämtliche Schutzrechte an den Produkterkenntnissen auf Workaround. Sollte eine Übertragung der Schutzrechte nach geltendem Recht nicht möglich sein, räumt der Kunde mit ihrer jeweiligen Entstehung Workaround unentgeltlich das ausschließliche, übertragbare, örtlich und zeitlich nicht begrenzte Recht ein, die Produkterkenntnisse auf alle bekannten Nutzungsarten zu nutzen, insbesondere sie beliebig zu bearbeiten, weiterzuentwickeln und zu vermarkten. Workaround nimmt die Übertragung bzw. Rechtseinräumung hiermit an. Soweit für eine Anmeldung eines Schutzrechts an den Produkterkenntnissen die Mitwirkung des Kunden bzw. dessen Mitarbeiter erforderlich ist, ist der Kunde verpflichtet, die erforderlichen Mitwirkungshandlungen auf Anfrage vorzunehmen. Sofern Workaround in Zukunft Nutzungsrechte für derzeit noch nicht bekannte Nutzungsarten an den Produkterkenntnissen benötigt, wird der Kunde diese auf Anfrage und gegen gesonderte angemessene Vergütung ebenfalls in vorstehend genanntem Umfang einräumen. Sofern im Zusammenhang mit der Lieferung und/oder im Rahmen der Zusammenarbeit zwischen den Parteien Erkenntnisse, Ergebnisse oder Know-how zu Prozessen, insbesondere Herstellungsprozessen, beim Kunden entstehen („Prozesserkenntnisse“), soll der Kunde alleiniger Inhaber bzw. ausschließlich Berechtigter an diesen Prozesserkenntnissen sein. Workaround überträgt sämtliche Schutzrechte an den Prozesserkenntnissen an den Kunden. Sollte eine Übertragung der Schutzrechte nach geltendem Recht nicht möglich sein, räumt Workaround mit ihrer jeweiligen Entstehung dem Kunden unentgeltlich das ausschließliche, übertragbare, örtlich und zeitlich nicht begrenzte Recht ein, die Prozesserkenntnisse auf alle bekannten Nutzungsarten zu nutzen, insbesondere sie beliebig zu bearbeiten, weiterzuentwickeln und zu vermarkten. Der Kunde nimmt die Übertragung bzw. Rechtseinräumung hiermit an. Soweit für eine Anmeldung eines Schutzrechts an den Prozesserkenntnissen die Mitwirkung von Workaround bzw. deren Mitarbeiter erforderlich ist, ist Workaround verpflichtet, die erforderlichen Mitwirkungshandlungen auf Anfrage vorzunehmen. Sofern der Kunde in Zukunft Nutzungsrechte für derzeit noch nicht bekannte Nutzungsarten an den Prozesserkenntnissen benötigt, wird Workaround diese auf Anfrage und gegen gesonderte angemessene Vergütung ebenfalls in vorstehend genanntem Umfang einräumen. Für die Zwecke und für die Dauer der Erbringung der nach diesem Vertrag geschuldeten Leistung und der Nutzung der Liefergegenstände und Dienstleistungen, räumt jede Partei der anderen Partei ein nicht ausschließliches, kostenfreies, und unterlizenzierbares Nutzungsrecht an den Produkterkenntnissen bzw. Prozesserkenntnissen ein.
  12. Geheimhaltung
    1. Jede Partei verpflichtet sich, (i) die von der anderen Partei offen gelegten vertraulichen Informationen nur für die in diesem Vertrag beschriebenen Zwecke zu nutzen, (ii) die von der anderen Partei erlangten vertraulichen Informationen strikt vertraulich zu behandeln und vor Kenntnisnahme und Nutzung durch Dritte zu schützen, (iii) den Zugang zu den von der anderen Partei offen gelegten vertraulichen Informationen auf diejenigen ihrer Mitarbeiter, Vertreter und/oder etwaigen Berater zu beschränken, die von diesen Informationen Kenntnis haben müssen und die schriftlich zur vertraulichen Behandlung dieser Informationen nach Maßgabe dieses Vertrages verpflichtet worden sind, und (iv) alle von der anderen Partei offen gelegten vertraulichen Informationen, die bei Beendigung dieses Vertrages in ihrem Besitz sind, herauszugeben oder zu vernichten. Unbeschadet des Vorstehenden, erkennt der Kunde an, dass Workaround statistische Daten über die Nutzung der Produkte durch den Kunden sammeln und diese statistischen Daten an Dritte weitergeben darf. Die vertraglichen Geheimhaltungsverpflichtungen gelten für fünf (5) Jahre nach Beendigung des Vertrages fort.
    2. Unbeschadet des Vorstehenden, finden die Bestimmungen der Ziffern 11.4 und 12.1 der Lieferbedingungen keine Anwendung auf vertrauliche Informationen, die (i) zum Zeitpunkt ihrer Offenlegung frei zugänglich bzw. allgemein bekannt sind, (ii) ohne Verschulden des Empfängers frei zugänglich bzw. allgemein bekannt werden, (iii) dem Empfänger rechtmäßig von Personen übermittelt wurden, die in dieser Hinsicht nicht an Geheimhaltungsverpflichtungen gebunden waren, (iv) sich zum Zeitpunkt der Offenlegung bereits im Besitz des Empfängers befinden, ohne dass daran Geheimhaltungsverpflichtungen geknüpft sind, (v) vom Empfänger eigenständig entwickelt wurden, oder (vi) von der offen legenden Partei ohne Einschränkung zur Freigabe oder Weitergabe zugelassen sind
    3. Jede Partei darf vertrauliche Informationen in dem erforderlichen Umfang weitergeben, (i) um eine gerichtliche oder behördliche Anordnung zu befolgen oder anderweitig die Anforderungen zwingender gesetzlicher Vorschriften zu erfüllen, wobei die Partei, welche die vertraulichen Informationen gemäß der Anordnung oder Anforderung offen legt, die andere Partei zuvor schriftlich zu informieren sowie angemessene Anstrengungen zu unternehmen hat, um eine Schutzanordnung zu erwirken, oder (ii) um die Rechte einer Partei nach diesem Vertrag durch ein Gericht feststellen zu lassen; dies schließt hierfür erforderliche Anträge ein.
    4. Die Parteien vereinbaren und antizipieren, dass Workaround bei der Erfüllung des Vertrages keinen Zugriff auf personenbezogenen Daten des Kunden im Sinne des deutschen oder des EU-Datenschutzrechts hat. In dem Fall, dass Workaround für den Kunden in Zukunft personenbezogene Daten des Kunden oder von Endnutzern verarbeitet (z.B. bei der Erbringung von Hosting- oder anderen Dienstleistungen), erfolgt diese Verarbeitung ausschließlich als Auftragsdatenverarbeitung und nur auf schriftliche Weisung des Kunden. Der Kunde bleibt verantwortliche Stelle (entsprechend den Definitionen des deutschen und EU-Datenschutzrechts). Workaround ist ausschließlich Auftragsdatenverarbeiter. In diesen Fällen vereinbaren die Parteien, alle nach anwendbarem deutschen oder EU-Datenschutzrecht vorgeschriebenen Maßnahmen zu ergreifen, insbesondere eine Vereinbarung über Auftragsdatenverarbeitung zu schließen.
  13. PrototypenSoweit Liefergegenstände im Angebotsdokument als Prototypen bezeichnet sind, gelten zusätzlich die Regelungen dieser Ziffer 13. Im Falle eines Widerspruchs zu den übrigen Klauseln, gehen die Regelungen der Ziffer 13 vor.
    1. Ein Prototyp ist ein für die jeweiligen Zwecke der Erprobungsphase Versuchs- bzw. Vormodell eines geplanten Produktes oder einer Erfindung. Ein Prototyp wird konstruiert und getestet, um die Machbarkeit eines Designs, einer Funktion oder einer sonstigen Eigenschaft zu beurteilen und Optimierungsbedarf festzustellen. Prototypen werden an den Kunden zu dem Zwecke übergeben, ihn in seinem Betrieb einer Erprobungs- und Testphase unterziehen zu können.
    2. Workaround weist ausdrücklich darauf hin, dass sich Prototypen im Weiterentwicklungsstand befinden und den Prozess der Herstellung noch nicht endgültig verlassen haben. Prototypen sind noch nicht zu einer endgültigen Vermarktung in der breiten Öffentlichkeit vorgesehen und eine Weitergabe an Dritte ist nicht gestattet, solange noch keine Serienproduktion angelaufen ist und Gründe der Vertraulichkeit entgegenstehen.
    3. Die Prototypen werden während der Erprobungsphase bei dem Kunden auf Grundlage eines schriftlich zu fassenden Projektvertrages unter Anleitung von Mitarbeitern von Workaround getestet.
    4. Preise für Prototypen können von denen für in Serie gefertigte Produkte abweichen. Prototypen sind oftmals handgefertigte Einzelstücke.
    5. Die technische Ausführung des Prototypen und die gegebenenfalls beilliegende Dokumentation sind vorläufig und die technischen Daten können sich noch ändern. Prototypen besitzen in der Regel nicht bereits die für das Serienprodukt vorgesehenen Produktzertifizierungen und –kennzeichnungen.
    6. Die Zuverlässigkeit, Lebensdauer und die Leistungsfähigkeit, insbesondere die Qualität und Verarbeitung von Prototypen im Vergleich zu serienmäßig und für die Vermarktung in der Öffentlichkeit hergestellten Produkten, können eingeschränkt sein und abweichen. Das Verhalten der Prototypen und dessen chemische und physikalische Beeinflussung außerhalb des Normbereichs ist unbekannt. Der Kunde hat dem Umstand, dass es sich bei dem erworbenen Produkt um einen Prototypen handelt und sich dieser im Stadium der Erprobung befindet, Rechnung zu tragen und bei der Inbetriebnahme besondere Umsicht walten zu lassen.
    7. Abweichung von Ziffer 8 und 9: Ausgeschlossen sind Ansprüche aus Sach- und Vermögensschäden, die durch den Prototypen deswegen entstehen, weil seine Verwendung oder Wirkung im Hinblick auf den konkreten Verwendungszweck nicht nach dem Stand der Technik oder in sonstiger Weise abschließend erprobt ist und der betriebliche Einsatz beim Kunden gerade diesem Zwecke dient. Vorstehendes gilt nicht für Schäden, die mit dem Prototypen weder in einem Funktionszusammenhang stehen noch dessen bestimmungsgemäßer Einwirkung während der betrieblichen Erprobungsphase unterliegen.
    8. Abweichung von Ziffer 8 und 9: Workaround ist aufgrund der Natur eines Prototypen im Falle der Verletzung wesentlicher Vertragspflichten zur mehrfachen Nachbesserung berechtigt, sofern dies dem Kunden zumutbar ist. Das Recht des Kunden zur Minderung ist ausgeschlossen. Für Rückfragen und bei auftretenden Problemen bei Betrieb des Prototypen, steht Workaround dem Kunden jederzeit mit geschultem Personal als Ansprechpartner zur Verfügung, um Hilfestellung zu leisten.
    9. Prototypen sind vertrauliche Informationen im Sinne dieser Lieferbedingungen. Entscheidet sich der Kunde den Prototypen nicht weiter zu nutzen oder will er sich ihm aus anderen Gründen entledigen, so hat der Kunde den Prototypen oder Teile davon nach Anweisung von Workaround entweder in einem gesonderten und Dritten nicht zugänglichen Schrottcontainer zu entsorgen oder an Workaround zurückzugeben.
  14. Allgemeine Bestimmungen
    1. Änderungen und Ergänzungen des Vertrages und/oder dieser Lieferbestimmungen sowie Nebenabreden bedürfen der Schriftform. Dies gilt auch für eine Abänderung dieses Schriftform-Erfordernisses.
    2. Ausschließlicher Gerichtsstand für alle Rechtsstreitigkeiten aus oder im Zusammenhang mit dem Vertragsverhältnis der Vertragsparteien ist München. Workaround ist jedoch berechtigt, den Kunden an jedem anderen gesetzlichen Gerichtsstand zu verklagen.
    3. Für diese Lieferbedingungen sowie das Vertragsverhältnis der Vertragsparteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss seiner Kollisionsnormen und des UN-Kaufrechts (CISG).
    4. Die deutsche Sprachversion dieser Lieferbedingungen ist in jeder Hinsicht maßgebend und rechtlich verbinden und geht im Falle von Widersprüchen vor.
  15. Allgemeine Bestimmungen Sofern Inhalt des Vertrages nach dem Angebotsdokument die Erbringung einer Dienstleistung oder eines Services durch Workaround („Dienstleistung“) ist, gelten zusätzlich die Regelungen dieser Ziffer 15.
    1. Inhalt, Beschaffenheit und Umfang der vereinbarten Dienstleistung ergeben sich aus dem jeweiligen Projektvertrag sowie gegebenenfalls aus dem Leistungsschein/ Angebotsdokument. Eine etwaige Projekt- und Erfolgsverantwortung obliegt dem Kunden. Workaround versichert die Dienstleistung nach dem bestem Wissen und Gewissen zu erbringen und nach den Grundsätzen ordnungsgemäßer Berufsausübung.
    2. Der Vertragsgegenstand kann in einer einmaligen, in Teilen zu erbringenden oder über einen längeren Zeitraum angelegten Dienstleistung bestehen.
    3. Die mit der Durchführung der Dienstleistung beauftragten Mitarbeiter von Workaround werden von Workaround ausgesucht, wobei die Interessen des Kunden angemessen berücksichtigt werden. Die von Workaround eingesetzten Mitarbeiter sind für die Dienstleistungserbringung qualifiziert.
    4. Die von Workaround mit der Erbringung der Dienstleistung beauftragten Mitarbeiter unterliegen nicht den Weisungen des Kunden.
    5. Die Art und Weise der Dienstleistungserbringung bestimmt Workaround auf Grundlage des jeweiligen Vertrages und –gegenstandes.
    6. Der Kunde ist verpflichtet, Workaround einen Ansprechpartner zu nennen, der über die notwendige Fachkunde verfügt und während der Vertragsausführung für den Kunden verbindliche Entscheidungen treffen kann. Der Kunde stellt sicher, dass dem Ansprechpartner die für die zur Durchführung des Vertrages notwendigen Informationen zur Verfügung stehen und er bei den zur Durchführung notwendigen Entscheidungen mitwirkt. Es muss sichergestellt sein, dass der Kunde für die Durchführung notwendige Entscheidungen unverzüglich herbeiführt und diese im Anschluss gemeinsam mit Workaround schriftlich dokumentiert. Der Kunde ist verpflichtet, Workaround – soweit erforderlich – zu unterstützen und in seinem Betrieb die zu einer ordnungsgemäßen Durchführung erforderlichen Voraussetzungen zu schaffen.
    7. Workaround werden durch den Kunden die zur Erbringung der Dienstleistung notwendigen Informationen und Unterlagen vollständig, richtig, rechtzeitig und kostenfrei zur Verfügung gestellt.
  16. Allgemeine Bestimmungen
      Sollten einzelne oder mehrere Bestimmungen des Vertrages und/oder dieser Lieferbedingungen unwirksam oder undurchführbar sein oder werden, so berührt dies die Wirksamkeit des Vertrages und/oder der Lieferbedingungen im Übrigen nicht. Die Vertragsparteien verpflichten sich in einem derartigen Fall, eine wirksame oder durchführbare Bestimmung an die Stelle der unwirksamen oder undurchführbaren Bestimmung zu setzen, die dem wirtschaftlich Gewollten am nächsten kommt. Entsprechendes gilt für die Ausfüllung von Vertragslücken.
  1. General, Area of Application
    1. Sale and delivery of the products (“delivery item” or “delivery items“), as well as services of Workaround GmbH, Rupert-Mayer-Straße 44, 81379 Munich, Germany (“Workaround“) shall apply exclusively on the basis of these General Terms and Conditions (“Terms of Delivery“) which are approved by the customer of Workaround GmbH (“Customer“) by accepting the offer or accepting the delivery. They shall also apply to all future transactions with the customer until the parties have agreed on more current Terms of Delivery. Opposing or supplementary terms and conditions of the customer do not apply, even if Workaround does not expressly reject them.
    2. The delivery items sold by Workaround are exclusively directed to contractors as defined by § 14 BGB. By accepting these terms of delivery, the customer declares that they are acting in the course of their commercial purposes.
  2. Contract, Subject Terms of Contract
      The offers of Workaround are non-binding. A contract is only completed by signature of the offer document by both parties and is exclusively based on the contents of this offer document and these terms of delivery, as well as further documents referenced in these documents. Verbal agreements or commitments require the written confirmation by Workaround employees who are authorized to represent the company.
  3. Description of Goods, Offer Documents, Subject to Change
    1. Workaround is obliged to submit the delivery item in the agreed condition. The agreed condition is exclusively determined by the written agreement between the parties including the attributes, characteristics and performance characteristics of the delivery item. Workaround does not take over any warranty for the state of the delivery item in the legal sense. Information provided by catalogs, price lists, prospectuses and other information material given to the customer of Workaround are neither to be understood as a warranty nor as a guaranteed description of specifications. Warranties shall be agreed expressly and in written format.
    2. Workaround retains all industrial property rights of the delivery items, (including existing copyrights, patents, trademarks, labelling or names and personal rights), the sales documents (in particular illustrations, drawings, and information of weight and dimensions), and the samples. Sales documents and samples may not be used for non-contractual purposes and shall be returned to Workaround immediately upon request. Sales documents and samples may only be passed on to third parties with the prior written approval of Workaround.
    3. Workaround reserves the right to change the design and material as far as the agreed function is not impaired. For further amendments the consent of the customer is required.
  4. Time of Delivery and Services
    1. Deadlines and dates for delivery and services shall only be binding if they have been expressly confirmed by Workaround in writing.
    2. Deadlines for delivery and services start after conclusion of the contract, however, not before the customer has provided all documents, approvals, releases, and information, as well as the complete clarification of any product-related questions and, if so required, agreed advanced payments or guaranties.
    3. Deadlines for delivery and services are complied if all conditions necessary for the transfer of risk, have been met before their expiration. The same applies accordingly for the compliance of the deadlines for delivery and services. In case of delayed delivery items, Workaround shall only be liable in the extent specified in number 9.
    4. The deadlines for delivery and services will be extended or postponed, for the duration of the disruptions, – even in the case of a delay – if the reasons for the delay are unforeseeable, inevitable, lay outside of the sphere of influence of Workaround, or are not attributable to Workaround, such as force majeure, natural catastrophes, official commands or labor disputes of the trade union. Workaround informs the customer as soon as possible about the start and end of the disruption. If the disruption lasts longer than three months or is determined to last longer than three months, both contract partners may withdraw from the contract within 14 days after being informed about the disruption. Delivery items or parts of them, that are not produced by Workaround itself, Workaround is not responsible for the on-time delivery of parts produced by third-party suppliers, but Workaround is obliged to immediately inform the customer about delays resulting from the breach of contract with suppliers of Workaround.
    5. If a customer delays the acceptance of delivery items or culpable violates obligations, Workaround shall be authorized to invoice the customer for additional expenditures resulting from that violations. In the case of storages at Workaround a storage fee at the usual amount will be charged.
  5. Scope of Delivery, Shipment, Transfer of Risk, Transport Insurance
    1. The specifications about dimensions, weights, and other technical data of the delivery items, that are written down in the offer documents of Workaround, are approximate values.
    2. Workaround shall be authorized to carry out partial deliveries and/or services with a reasonable ground and if it is bearable for the customer.
    3. The place of delivery is determined by the agreed delivery clauses between Workaround and the customer, which have to be interpreted on basis of the current version of the Incoterms. Unless a special delivery clause has been agreed upon, the delivery is always “exworks” (EXW) [“ab Werk”] according to the current version of the Incoterms at the place of Workaround. Workaround has the absolute choice of the delivery method and the shipping route.
    4. Transport insurance will be added at the request and cost of the customer.
  6. Prices
    1. The customer shall be obliged to pay the agreed price between the parties, as defined in the offer document in accordance with clause 2 of the terms of delivery, in compliance with the terms of payment clause 7. In the case that the parties have not agreed on a specific price, the price is determined by the price list of Workaround that is valid at the time of conclusion of the contract
    2. Information about prices have to be understood as exworks (EXW) [“ab Werk”] plus packing, shipping, insurance, customs, as well as taxes and other fees that are related to the delivery.
  7. Payment Terms and Credit Worthiness of the customer
    1. Unless differently agreed, claims of sold delivery items become due with the delivery of the respective delivery item and other claims become due with receipt of the respective invoice. The payment shall be regarded as completed when Workaround has gotten the whole amount. (payment receipt).
    2. Workaround shall be authorized to make issue partial invoices in the case of partial deliveries and / or services as defined in clause 5.2
    3. The customer shall be authorized to refuse payment only if their counterclaim is undisputed or legally determined.
    4. The customer shall be only authorized to assert a right of retention if their counterclaim is based on the same contract and is undisputed or legally determined.
    5. In the case of default of payment of the customer, Workaround shall be authorized – without prejudice to any other rights – to request interests of 9% p. A. above the base interest rate of the European Central Bank. The assertion of further damages caused by delay shall remain unaffected.
    6. If Workaround recognizes any circumstances which justify reasonable doubts about the solvency or creditworthiness of the customer and which could affect the payment claim of Workaround after conclusion of the contract, Workaround shall be authorized to carry out outstanding deliveries and / or services only if the customer agrees to an advance payment or security compensation and also if the customer has paid any other claims of business transactions between Workaround and the customer. Workaround shall also be authorized to fully or partly withdraw from the contract and to request compensation for damages if the customer does not provide the payment before expiry of a reasonable deadline. The assertion of further rights by Workaround remains unaffected.
    7. Unless otherwise agreed, payments of the customer to Workaround pay off the debts of the customer shall in order of their due date in accordance with section 7.1.
    8. The supplier has the right to assign his claims against the buyer to a third party.
    9. If the customer is in default of payment with a claim, all other claims against the buyer may be made due.
    10. The Customer shall bear all fees, costs and expenses incurred in connection with any legally successful prosecution outside Germany.
  8. Defect Right, Inspection Obligation
    1. The customer shall inspect the deliverables immediately after delivery to the customer and in case of any defects immediately, but latest within one week after the delivery, notify Workaround in writing about any recognizable defects. In case of latent defects, the customer shall give notice to Workaround in writing within a period of one week after the defect has been discovered. Otherwise the customer forfeits their rights to claim for defects. The deadline is met when the written notice about defects is sent out from the customer within the aforementioned period, provided the notice reaches Workaround within the typical delivery period.
    2. Workaround shall have the right to inspect and examine the defect of the rejected deliverable. The customer shall provide Workaround with sufficient time for this purpose. If Workaround cannot identify any defect of the deliverable, the customer shall reimburse Workaround for the costs occurred by the examination of the deliverable.
    3. In the case of a defect of the deliverable, Workaround shall be authorized to rectify the defect by either repairing or replacing the deliverable. If Workaround refuses to remedy such defects or if its efforts to do so fail, then the customer can choose on the basis of their legal rights to withdraw from the contract or to reduce the purchase price. Workaround shall only be liable for damages due to defectiveness of the deliverable to the extent specified in section 9. Warranty rights beyond that are excluded. §§ 478 f. BGB shall not be affected. The customer is obliged to request supplementary performance from Workaround in writing and with indication of the postfulfillment deadline.
    4. The customer is obligated to request rectification of defects from Workaround in writing and with indication of the post-fulfillment deadline.
    5. The Deviating from § 438 para. 1 no. 3 BGB amounts to the general limitation period for claims from material and legal defects one year from Delivery. As far as an acceptance is agreed on, the statute of limitations begins with the acceptance. The above-mentioned limitation periods of the Purchase law also apply to contractual and non-contractual claims for damages by the customer that are based on a defect of the goods unless the application of the regular statutory limitation period (§§ 195, 199 BGB) would in individual cases lead to a shorter one. Claims for damages by the customer acc. § 9 para. 1 sentence 1 and sentence 2 (a) and under the Product Liability Act however, only come under the statute of limitations after the statutory limitation periods.
  9. Liability, Compensation for damages
    1. Unless otherwise stated in these GTC, including the following provisions, Workaround shall be liable in the event of a breach of contractual and non-contractual obligations in accordance with the statutory provisions.
    2. Workaround shall be liable for damages – for whatever legal reason – in the context of fault liability in cases of intent and gross negligence. In the case of ordinary negligence, Workaround is only liable subject to a lesser liability according to legal regulations (for example, due diligence in own affairs)
      1. for damage resulting from injury to life, limb or health,
      2. for damages resulting from the material breach of a material contractual obligation (obligation the fulfillment of which is essential for the proper performance of the contract and the compliance with which the customer can regularly rely and trust); however, in this case Workaround’s liability is limited to the compensation for foreseeable, typically occurring damage.
    3. The liability limitations resulting from para. 2 shall also apply to breaches of duty by or in favor of persons whose fault has to be accounted for by Workaround according to legal regulations. They do not apply if Workaround has fraudulently concealed a defect or has assumed a guarantee for the quality of the goods and for claims of the customer under the Product Liability Act.
    4. Due to a breach of duty that does not exist in a defect, the customer can only resign or terminate if Workaround is responsible for the breach of duty. A free termination right of the customer (especially according to §§ 650, 648 BGB) is excluded. Incidentally, the legal requirements and legal consequences apply.
  10. Retention of title
    1. Workaround reserves the right of ownership of the deliverables until full payment of all claims has taken place. If a current account agreement [Kontokorrentabrede] has been made with the customer, Workaround retains the right of ownership until the complete payment of the current account balance.
    2. The customer is obligated to carefully handle the deliverables for the duration of the retention of title (“reserved goods” [Vorbehaltsware] in the following) and to immediately give notice to Workaround in case of impoundment, seizure, damage or loss.
    3. In case of late payment concerning a significant part of the customer’s obligations, Workaround is entitled to the provisional restitution of the reserved goods. The costs incurred by exercising the right to recall (in particular for transport and storage) shall be paid by the customer if Workaround has given notice of the recall within a reasonable deadline. Workaround shall be authorized to use the reserved goods taken back to satisfy its demands from their profits. After the expiry of the reasonable deadline, the customer is obligated to grant Workaround or a representative of Workaround immediate access to the reserved goods and return them.
    4. Workaround shall maintain ownership of reserved goods processed or transformed by the customer. If the reserved goods are processed with other items, then Workaround acquires co-ownership of the new item proportional to the value of the reserved goods over the value of the processed items at the time of the processing. In addition, the same applies for processed items as for delivered items under retention of title.
    5. If the reserved goods are combined with other items, Workaround acquires the co-ownership of the new item proportional to the value of the reserved goods over the value of the new item at the time of the connection. If the connection is made in such a way that the other item is to be regarded as the main item, then the customer shall transfer proportionate co-ownership of the new item to Workaround. The same shall apply if the reserved good is connected to a property or building in such a way that it becomes an essential part of the property or building. Workaround shall keep co-ownership of the processed goods free of charge. In addition, the same applies for connected items as for delivered items under retention of title.
    6. If the realizable value of Workaround under the aforementioned conditions exceeds the claims from the customer for long term by more than 10%, Workaround shall, in this respect, release securities at customer’s request.
    7. For deliveries to areas where other legal orders apply and the regulation about the retention of title as defined in clause 10 does not have the same security effect as in Germany, the customer will do everything to grant Workaround the respective security rights immediately. The customer will participate in all measures, such as registration, publication etc., which are necessary and beneficial for the effectiveness and enforceability of these security rights.
    8. At the request of Workaround, the customer shall be obligated to adequately insure the reserved goods against usual risks, to provide Workaround with the corresponding proof of insurance, and to assign the claims from the insurance contract to Workaround in the amount of the value of the conditional goods
  11. Industrial Property Rights
    1. The right to use the software, including firmware of the deliverable is granted to the customer. This right is non exclusive, non-transferable, permanent, and non-sublicensable.
    2. Without the written consent of Workaround, the customer shall not be authorized to transfer the usage rights of the software separately from the delivered item to third parties, to give licenses to third-parties or to give access to third parties, may it be temporarily or permanently.
    3. If the customer is required to make the products to be delivered by means of certain instructions, information, documents, drafts or drawings (“Instructions“), the customer guarantees that the execution of the instructions does not infringe any rights of third parties such as patents, utility models and other Protection and copyrights. The Customer shall indemnify Workaround against all claims of third parties who assert such claims against Workaround for such infringement and shall grant Workaround the non-exclusive and non-transferable, permanent, sublicensable right to use the instructions in connection with the performance of the Agreement.
    4. The parties are aware that they have access to certain confidential information of the other party or of third- parties. The Disclosing Party is obliged to keep these information confidential. Therefore both parties shall acknowledge that the Disclosing Party or third party retains all rights to confidential information.
    5. If, within the framework of the collaboration or delivery between the two parties, new knowledge or know-how about the product or services (“product knowledge”), is discovered, Workaround will be the sole owner or the sole beneficiary of this product knowledge. The customer transfers all property rights about product knowledge to Workaround. If a transfer of the property rights as the law stands is not possible, the customer grants Workaround the exclusive, transferable, local and temporally unlimited right to use this knowledge, specifically to process, develop and market this knowledge. Workaround hereby accepts the transfer or grant of rights. If the participation of the customer or their employees is necessary for a the registration for a property right, the customer is obligated to carry out the necessary cooperation activities upon request. If Workaround requires future usage rights for products not yet known at the time of product knowledge, the customer will also grant these on request and against a separate reasonable compensation as mentioned above. If knowledge or know-how about manufacturing processes arises in connection with the delivery and / or within the framework of the collaboration between the parties, (“process knowledge“), the customer shall be sole owner or exclusive beneficiary of this process knowledge. Workaround transfers all property rights about the process knowledge to the customer. If Workaround is not able to transfer the property rights under the state of law, Workaround grants the customer the exclusive, transferable, local and temporally unlimited right to use the process knowledge in all known ways of use, in particular to process, develop and market them to their full preference. The customer hereby accepts the transfer or grant of rights. If the cooperation of Workaround or its employees is required for the registration of a protective right an application for a protective right, Workaround shall be obligated to carry out the necessary activities upon request. In case the customer requires usage rights of the process knowledge in the future that are not yet known, Workaround will also grant these to the aforementioned extent upon request and for an adequate fee. Each party shall grant to the other party a non-exclusive, free, and sublicensable right to use the product knowledge or process knowledge until the claims of the contracts are balanced.
  12. Non-disclosure
    1. Each party shall be obliged (i) to use confidential information disclosed by the other party only for the purposes described in this agreement; (ii) to treat the confidential information obtained by the other party strictly confidentially and protect it from notice and use by third parties (iii) restrict access to the confidential information disclosed by the other party its employees, representatives and / or any consultants who have to be aware of this information and who have been informed in writing about the confidentiality of this information (iv) to disclose or destroy any confidential information disclosed by the other party after the termination of this contract. Without prejudice to what is stated above, the customer acknowledges that Workaround may gather statistical data about the use of the products by the customer and Workaround may pass on such statistical data to third parties. The contractual confidentiality obligations shall continue for five (5) years after the termination of the contract.
    2. Without prejudice to what is stated above, the conditions of clauses 11.4 and 12.1 of the Terms of Delivery shall not apply to confidential information which (i) is freely accessible or generally known at the time of its disclosure, (ii) freely accessible or generally known without fault of the Receiving Party, (iii) was legally transferred from persons who were not bound to the secrecy obligations to the Receiving Party, (iv) is already known by the Receiving Party at the time of the disclosure (and without any confidentiality obligations) (v) has been independently acquired by the Receiving Party (vi) is authorized by the Disclosing Party to release or transfer.
    3. Each Party may disclose confidential information to the necessary extent (i) to comply with a court or a legal order or somehow comply with the requirements of mandatory legal regulations. Thereby the Disclosing Party shall be in charge of informing the Receiving Party in writing and to undertake reasonable effort to obtain an order of protection (Ii) to identify the rights of a party under this agreement by a court of law; This shall include proposals necessary for this request.
    4. The parties agree and anticipate that Workaround shall not have access to personal data of the customer in the sense of the German or the EU Data Protection Law [EU- Datenschutzrecht]. In the case that Workaround processes the customer’s personal data or end-user data (e.g. in the performance of hosting or other services) in the future, this shall only happen on basis of contract data processing and exclusively upon written request of the customer. The customer remains the responsible contact (according to the definitions of the German and EU Data Protection Law). Workaround is exclusively the order data processor. In such cases, the parties agree to completely act upon the applicable German or EU Data Protection Law, and, in particular, conclude an agreement on order data processing.
  13. Prototypes Insofar as delivery items are marked as prototypes on an offer document, the regulations of this clause 13 apply. In the case of a conflict with the other clauses, the regulations of clause 13 shall apply.
    1. A prototype is a trial product for a respective purpose and in the initial phase of a planned product or an invention. A prototype is designed and tested to assess the feasibility of a design, a function or other attributes, and to identify the need for optimization. Prototypes are handed over to the customer for the purpose of being able to test and try the product within a certain phase.
    2. Workaround explicitly points out that prototypes are in the development stage and have not yet left the process of production. Prototypes are not yet intended for final market entry to the general public and they are not allowed to be passed on to third parties, as long as no serial production has yet started. They have to be treated confidential.
    3. The prototypes are tested during the trial phase at the customer on the basis of a written project agreement and under guidance of the employees of Workaround.
    4. Prices for prototypes may differ from those for series- produced products. Prototypes are often handmade individual pieces.
    5. The technical execution of the prototype and the attached documentation are provisional and the technical data can still be changed. Prototypes usually do not already have the product certifications and markings of the serial product.
    6. Reliability, durability and performance, in particular the quality and finishing of prototypes can be limited and vary in comparison to products produced as a standard product. The behavior of the prototypes and their chemical and physical influence outside the normal range is unknown. The customer has to take into account the fact that the purchased product is a prototype and still in the testing phase. Therefore the customer shall take special care during this phase.
    7. Deviations from clauses 8 and 9: Claims for material and property damages resulting from the prototype are excluded, if the use or impact has not been conclusively tested and if the customer uses the prototype specifically for this purpose. The abovementioned does not apply for damages which are neither related to the prototype nor to the intended use during the operational test phase.
    8. Deviations from clauses 8 and 9: Workaround shall be justified to improve a prototype several times, if this is reasonable for the customer. The right of the customer to a reduction in payment is excluded. In the case of any upcoming questions or problems during the use of the prototype, Workaround shall always help the customer with assistance of trained personnel.
    9. Prototypes are confidential information in the sense of the Terms of Delivery. If the customer decides not to make further use of the prototypes, the customer has to either dispose of the prototypes or parts of them to a separate container, which is not accessible for third-parties or hand them back to Workaround.
  14. General Clauses
    1. Modifications and amendments of the contract and / or these Terms of Delivery as well as collateral agreements have to be done in writing. This also applies to an amendment of this written format.
    2. The exclusive place of jurisdiction for all legal disputes arising out of, or in connection with this contractual relationship is Munich. Workaround is, however, authorized to sue the customer at any other court.
    3. The law of the Federal Republic of Germany applies to these Terms of Delivery as well as to the contractual relationship between the two parties, excluding its conflict rules and the standard UN convention (CISG).
    4. The version in German language of these Terms of Delivery shall be legally binding in all respects and shall be applied in the case of contradictions.
  15. ServicesIf the content of the contract according to the offer document is a service performance by Workaround (“service”), the regulations of this clause 15 shall apply in addition.
    1. The content, quality and extent of the agreed service result from the respective project contract and, if applicable, from the performance certificate / offer document. The customer is completely responsible for the project and its success. Workaround provides the service to the best of its knowledge and belief and on the basis of the standards of proper professional practice.
    2. The object of the contract may be fulfilled at one step or at more steps within a longer period of time.
    3. The employees of Workaround who deliver the services, are selected by Workaround, taking into account the interests of the customer. These employees of Workaround are qualified for the provision of services.
    4. The employees assigned by Workaround to provide the services are not subject to the instructions of the customer.
    5. The way in which the service is delivered is determined by Workaround on the basis of the respective contract and its object.
    6. The customer is obliged to appoint a contact person for Workaround who has the necessary specialist knowledge and is able to make binding decisions in the name of the customer during the time of the contract. The customer ensures that the contact person has all the available information necessary for the implementation of the contract and that he is involved in the required decision making. It has to be ensured that the customer makes immediate decisions required for the implementation and subsequently documents these in writing together with Workaround. The customer is obliged to support Workaround, if necessary, and to create the needed conditions for a proper implementation.
    7. Workaround shall receive the information and documents required for the service delivery in a complete and correct form, on-time and free of charge from the customer.
  16. Final Clauses
      In case of invalidity of individual or several regulations of these contract and/or of these Terms of Delivery, the validity of this contract and/or Terms of Delivery is not affected. May this be the case, the contracting parties are obliged to come up with effective and feasible regulations that replace the invalid regulations. These regulations are carried out with the intention to represent what comes closest to the economic intention. The same applies for contractual gaps.

8. Limitation of Liability. In no event and under no legal theory, whether in tort (including negligence), contract, or otherwise, unless required by applicable law (such as deliberate and grossly negligent acts) or agreed to in writing, shall any Contributor be liable to You for damages, including any direct, indirect, special, incidental, or consequential damages of any character arising as a result of this License or out of the use or inability to use the Work (including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses), even if such Contributor has been advised of the possibility of such damages.

9. Accepting Warranty or Additional Liability. While redistributing the Work or Derivative Works thereof, You may choose to offer, and charge a fee for, acceptance of support, warranty, indemnity, or other liability obligations and/or rights consistent with this License. However, in accepting such obligations, You may act only on Your own behalf and on Your sole responsibility, not on behalf of any other Contributor, and only if You agree to indemnify, defend, and hold each Contributor harmless for any liability incurred by, or claims asserted against, such Contributor by reason of your accepting any such warranty or additional liability.

ProGlove CARE Terms and Conditions

1. Scope

1.1 The Workaround (ProGlove) GmbH, with business address at Friedenstrasse 4, 81671 München (hereinafter “ProGlove”), undertakes to perform for participants of the extended warranty scheme “ProGlove CARE” (hereinafter “ProGlove CARE”), pertaining to the contractual condition and performance of the scanner of the type “Mark” (hereinafter “ProGlove Mark”) purchased as per Clause 2 and registered for ProGlove CARE, the services described in the following provisions. The warranty scheme ProGlove CARE exists in addition to all warranty claims according to mandatory statutory law, product liability claims and contractual warranty claims, and does not limit such rights.

1.2 Deviating or supplemental conditions of the End Client (as defined in Section 2.1

(a)), in particular terms and conditions of the End Client, shall not apply unless ProGlove has explicitly approved such terms and conditions in writing.

2. Entitlement to ProGlove CARE; Conclusion of Contract; Contractual Changes

2.1 ProGlove CARE services can be utilised only if the following prerequisites are cumulatively satisfied:

(a) ProGlove CARE is purchased by a client who is an entrepreneur within the meaning of Section 14 BGB (German Civil Code – Bürgerliches Gesetzbuch) and acquired the ProGlove Mark for its own use (hereinafter “End Client”) either (i) directly from ProGlove or (ii) from an authorised reseller who purchases ProGlove Marks in its own name and for its own account directly from ProGlove and resells the same (hereinafter “Partner”). The ProGlove CARE services are to be performed solely for the relevant End Client (End Client stipulation of ProGlove CARE);

(b) At the time of utilising ProGlove CARE services, the End Client must be the owner of the ProGlove Mark in respect of which the services are to be performed. No other users of the ProGlove Mark shall be entitled to utilise ProGlove CARE services (ownership stipulation of ProGlove CARE); and

(c) An order has been properly placed for ProGlove CARE in respect of the ProGlove Mark for which the ProGlove CARE services are to be performed (device stipulation of ProGlove CARE).

2.2 ProGlove CARE has to be ordered separately for each ProGlove Mark specifying the relevant serial number. In placing an order for ProGlove CARE, the End Client submits an offer to conclude a contract for ProGlove CARE in respect of the ProGlove Mark specified in the order. The ProGlove CARE contract is effective upon the declaration of acceptance issued by ProGlove in text form.

2.3 If the End Client does not order ProGlove CARE within thirty (30) days of the receipt of the respective ProGlove Mark by the End Client, ProGlove shall be entitled prior to accepting the order for ProGlove CARE to inspect the ProGlove Mark at the expense of the End Client, which shall not exceed an amount of EUR 180,00. The purpose of the inspection is to assess the condition of the relevant ProGlove Mark and verify eligibility for the participation in the ProGlove CARE scheme.

2.4 The ProGlove CARE contract shall be effective exclusively between ProGlove and the End Client. Partners are not entitled to represent ProGlove in legal transactions. ProGlove is entitled, however, at its sole discretion, to engage Partners to perform ProGlove CARE services, including maintenance services.

2.5 Subsequent amendments to the conditions of ProGlove CARE (e.g. revision of scope of performance) can be agreed upon by both contracting parties in a separate written agreement and shall apply from the date of the amendment for the (remaining) Term agreed upon in the ProGlove CARE contract as per Clauses 8.1 and 8.2. However, at all times, ProGlove reserves the right, before concluding such an agreement to perform an internal plausibility check in respect of the End Client and, if appropriate, to withhold its consent to any Contractual Change without stating reasons.

2.6 In order to respond to market changes and also to be able to offer existing customers new products, ProGlove further reserves the right to unilaterally revise the conditions governing the ProGlove CARE (hereinafter “Contractual Change”). ProGlove shall give the End Client sufficient advance notice of a Contractual Change – at least six (6) weeks before the effective date of such Contractual Change – in text form. A Contractual Change cannot materially alter the conditions to the detriment of the End Client; in particular it cannot materially increase the amount of the remuneration. The parties concur that an increase of up to five (5) percent within one year of the preceding price increase, or of up to ten (10) percent in the three consecutive years since the preceding price increase, is not to be deemed a material alteration of conditions if the price increase corresponds either to the increase in costs incurred by ProGlove, also giving consideration to any cost savings achieved, in providing the ProGlove CARE services, in particular the necessary costs for maintaining, servicing and further developing the technical and human resources used to perform the services and the necessary cost of licensing third-party works, or to the increase in market prices. If a Contractual Change materially alters the conditions to the detriment of the End Client, the End Client has the right to exceptionally terminate the contract in writing by serving notice of four (4) weeks from receipt of the change notice. The End Client must present the notice of exceptional termination to ProGlove in writing within four (4) weeks of receiving notice of the material Contractual Change, otherwise the Contractual Change will take effect as announced by ProGlove, from the relevant communicated date. The Contractual Change shall take effect accordingly from the announced effective date. If the End Client rejects the material Contractual Change and exercises its right of termination for good cause, it shall be obliged to cease utilising ProGlove CARE services once the contract is terminated.

2.7 During the duration of the Term as defined in Clauses 8.1 and 8.2 ProGlove is further entitled to terminate all ProGlove CARE services for certain ProGlove Marks if it can no longer perform the agreed ProGlove CARE services for such products due to the fact that the necessary replacement parts have been discontinued by the respective manufacturer. In this case the End Client has to be reimbursed for any advance payments paid in advance for the respective ProGlove Marks insofar as the advance payments were made in respect of periods in which ProGlove CARE services will no longer be performed due to the termination.

3. Performance Scope

3.1 Within the framework of this Clause 3, the ProGlove CARE services encompass the following scope of performance for End Clients who are owners of ProGlove Marks in respect of which ProGlove CARE has been purchased:

(a) ProGlove shall provide the following help desk support services:

− Telephone service hotline with live support provided by skilled device specialists on weekdays (Mondays to Fridays, excepting national and local public holidays), from 9 am to 5 pm (local time at the registered office of ProGlove, Munich, Germany), and

− E-mail support provided by skilled device specialists on weekdays (Mondays to Fridays, excepting national and local public holidays), from 9 am to 5 pm (local time at the registered office of ProGlove, Munich, Germany).

(b) ProGlove shall rectify a functional failure and/or impairment of the ProGlove Mark (hereinafter “malfunctions”) arising from

− a device fault (technical failure) attributable to the manufacturer, or

− normal wear and tear (e.g. abrasion) and other damage occurring while making contractual and appropriate use of the ProGlove Mark,
by replacement (Ersatzlieferung) of a quality-assured, refurbished and repaired (hereinafter “Refurbished”) ProGlove Mark.
Malfunctions occurring within the Term of the ProGlove CARE contract as defined in Clauses 8.1 and 8.2 shall be rectified by transferring the device and transferring the title (hereinafter “Replacement”) of an equivalent new or Refurbished ProGlove Mark (hereinafter “Replacement Device”). The Replacement Device shall be configured with the standard configuration determined by ProGlove, offer at least equivalent functionality and be in a similar condition to the replaced device. The title of ownership of the device replaced in connection with the rectification of a malfunction shall transfer to ProGlove. The cost of material, labour and shipping costs for returning the ProGlove Mark to the End Client shall be borne by ProGlove within the EU. The cost of sending the defective device from the End Client to ProGlove shall be borne by the End Client.

(c) Replacements are available only for the ProGlove Mark. The other devices belonging to the ProGlove system, such as the access point and charging station (“Non-ProGlove CARE Products”), are not covered by the ProGlove CARE scheme. The End Client is not entitled to receive ProGlove CARE services for NonProGlove CARE Products; outside the scope of the contractual warranty agreed upon between the End Client and ProGlove, the mandatory statutory provisions concerning warranty law, and the German Product Liability Act (Produkthaftungsgesetz), Non-ProGlove CARE Products will be repaired at best as gesture of goodwill and in the sole discretion of ProGlove.

(d) If the ProGlove Mark is repaired outside the scope of the ProGlove CARE services, ProGlove will charge the End Client for the Replacement Device as per the current price list as revised from time to time.

(e) ProGlove CARE is limited to the geographical territory of the European Union, Switzerland and the UK, whereas the place in which the respective ProGlove Mark End Client has its registered office shall determine whether the respective ProGlove Mark falls within the territorial scope.

3.2 The following services are not included in the scope of performance of the ProGlove CARE services:

(a) repair and/or maintenance of software, including without limitation updating the ProGlove Mark with the most recent software release;

(b) repair and/or maintenance of third-party CDC drivers that do not form part of the ProGlove Mark;

(c) rectification of cosmetic defects not affecting the functioning or stability of the ProGlove Mark;

(d) repair or replacement of a ProGlove Mark damaged by force majeure (in other words by exceptional events or circumstances beyond the control of the parties, such as armed conflict, insurrection, criminal acts or natural disasters, including storms, flooding, earthquakes, volcanic eruptions etc.);

(e) repair and/or replacement of consumables, in particular of the “Longlife” fingerless overgloves and standard gloves;

(f) the performance of ProGlove CARE services for a Non-ProGlove CARE product or any other products not expressly covered by the ProGlove CARE scheme; and

(g) pre-configuration of the Replacement Device to match the End Client’s configuration. The End Client is responsible for configuring any Replacement Device according to its needs.

3.3 ProGlove shall not be obliged to perform the agreed ProGlove CARE services if the malfunction of the ProGlove Mark is or was according to ProGlove’s assessment, that ProGlove exercised freely at its discretion,

(a) not reproducible for ProGlove;

(b) based on an application problem of the ProGlove Mark attributable to the ProGlove Mark (i) having been processed, modified or combined wholly or partially with other software products by the End Client or third parties without the prior written consent of ProGlove, or (ii) having been used in a different hardware environment or in connection with a different software environment than intended at the time the ProGlove Mark was supplied;

(c) based on system interference between the ProGlove product and other hardware and/or software products due to, or related to, the place of use, unless the client provides evidence that such interference lies within the sphere of influence and responsibility of ProGlove;

(d) caused by a repair or modification of the ProGlove Mark (attempted) by the client or unauthorised third parties;

(e) based on the ProGlove Mark having been used not in compliance with the relevant operating instructions and/or manuals;

(f) based on damage to the ProGlove Mark caused by wilful or negligent acts by the End Client or based on damages that lie otherwise within the sphere of responsibility of the End Client, or based on misuse of the ProGlove Mark; or

(g) caused by the use of unsuitable tools or accessories.

3.4 These ProGlove CARE services shall be granted to the End Client in addition to the warranty and product liability rights agreed in the purchase agreement with the seller of the ProGlove Mark, as well as the statutory warranty and rights under the Product Liability Act. The End Client can therefore in addition to the claims pursuant to the ProGlove Care claim contractual or statutory warranty claims against the relevant seller.

4. Performance of ProGlove CARE services

4.1 The ProGlove CARE services to be performed by ProGlove shall constitute a service contract within the meaning of Section 611 BGB and, save as otherwise provided in this ProGlove CARE contract, be subject to the statutory provisions concerning service contracts (Dienstvertragsrecht). It is the parties intend that, by concluding the ProGlove CARE contract, they explicitly do not constitute a contract to produce a work (Werkvertrag).

4.2 The ProGlove CARE services are to be performed, at the sole discretion of ProGlove, (i) by ProGlove (Munich, Germany) itself and/or (ii) by a local support establishment designated by ProGlove and/or an authorised ProGlove Partner (“Support Partners”). The ProGlove CARE services can be performed by Support Partners without the consent of the End Client. The End Client hereby consents to ProGlove passing to the relevant Support Partner all data relating to the End Client and needed for the purpose of performing the ProGlove CARE services.

4.3 ProGlove or a Support Partner shall respond within 24 hours to a support request of the End Client duly submitted to the competent support facility. In addition, ProGlove or a Support Partner shall maintain an appropriate inventory of Replacement Devices offering equivalent functionality in order to supply the End Client with a Replacement Device within a period that is reasonable for the End Client. ProGlove shall endeavour to perform the ProGlove CARE services within the envisaged time frames (“Lead Times”). In view of the diverse complexity of requests, however, stated Lead Times are only guideline valus and therefore non-binding.

5. Obligations of the End Client

5.1 The End Client is obliged to take appropriate precautions in order to prevent losses or damage to the ProGlove Mark. The End Client is obliged to test the ProGlove Mark using self-diagnostic programs and to solve error messages as instructed by telephone. An entitlement to return the ProGlove Mark and have a Replacement Device supplied by ProGlove shall exist only if the fault cannot be rectified remotely.

5.2 The End Client must provide ProGlove with (i) a station for remote testing of the ProGlove systems, and (ii) qualified personnel capable of working together with ProGlove to produce a remote diagnosis.

5.3 The End Client shall notify ProGlove of malfunctions of the respective ProGlove Mark in respect of which it wishes to utilise ProGlove CARE services without undue delay in text form upon their occurrence. In this context, the End Client must, within reasonable limits, localise the fault and/or application problem and describe the fault accurately in writing.

5.4 Before sending ProGlove Marks to ProGlove, the End Client is obliged to announce the return of a ProGlove Mark and/or any other accessories (e.g. cables supplied by third parties) in connection with the intended utilisation of the services available granted under the ProGlove CARE scheme, together with the return merchandise authorisation number (hereinafter “RMA number”) allocated and reported by ProGlove to the End Client.

5.5 The End Client is further obliged to pack the ProGlove Mark appropriately for the return, and to return the ProGlove Mark together with a completed return merchandise authorisation document (hereinafter “RMAD”). Upon the instruction of ProGlove, the End Client is obliged to produce the RMAD with the RMA number and send both together with the End Client’s delivery and invoice address. Should the delivery and/or invoice address differ, this is to be noted in the RMAD. The RMAD must also contain a detailed description of the malfunction, which is to be entered by the End Client upon the instruction of ProGlove. If the End Client sends any accessories in addition to the ProGlove Mark, these are to be stated separately in the RMAD. ProGlove shall not accept any liability for accessories sent together with a ProGlove Mark without being indicated in the RMAD, and shall return such accessories to the End Client at the End Client’s expense.

5.6 If ProGlove does not receive the defective ProGlove Mark within 30 days of sending the RMAD, and has already sent the End Client a Replacement Device, it shall be entitled to charge the End Client for the supplied Replacement Device as per the current price list as revised from time to time.

5.7 In the event of recurring malfunctions, exceeding the normal boundaries based on experience with regard to the ProGlove Mark (or Replacement Device) registered with the ProGlove CARE scheme, the End Client shall be obliged, if it wishes to continue utilising the ProGlove CARE services, to grant ProGlove access to its business premises and/or the locations where the ProGlove Mark is in service, in order to allow ProGlove to evaluate how the ProGlove Mark is being used within the End Client’s business. ProGlove is entitled to recommend accessories and solutions to the End Client in order to reduce the risk of any future malfunctions. The End Client shall endeavour, within reasonable limits, to give appropriate consideration to the recommendations of ProGlove. If ProGlove determines according to its reasonably exercised discretion that the recurring malfunctions of the ProGlove Mark are based on a non-contractual or improper use, and if the End Client does not implement the solutions recommended by ProGlove to prevent the malfunctions, ProGlove can terminate the ProGlove CARE for good cause for the respective ProGlove Marks. In case of an termination for good cause by ProGlove, Sentence 2 of Clause 2.8 shall apply mutatis mutandis.

5.8 The proper and timely compliance of the End Client’s obligations stated in this clause constitutes an obligation duty (Obliegenheit) and a material precondition of the End Client’s utilisation of the ProGlove CARE services. For this reason, the End Client cannot assert any claims for improper or untimely performance of the ProGlove CARE services if it does not provide evidence that it has complied with its obligations timely and properly, or that the improper or late performance of the ProGlove CARE services does not rely on the late or improper discharge of its obligations.

6. Restriction of Liability

ProGlove is only liable with regard to the present ProGlove CARE contract pursuant to the following provisions:

6.1 ProGlove is liable without restriction for loss or damage caused by intent or gross negligence by ProGlove, its legal representatives or officers, and for losses caused by intent on the part of other vicarious agents; in case of gross fault on the part of other vicarious agents, liability shall be determined pursuant to the provisions concerning slight negligence as set forth below in Clause 6.5.

6.2 ProGlove is liable without restriction for loss or damage resulting from death, physical injury or health impairment caused by ProGlove, its legal representatives or vicarious agents.

6.3 ProGlove is liable for loss or damage arising from the absence of assured characteristics up to the amount encompassed by the purpose of the assurance and which was identifiable by ProGlove at the time of giving the assurance.

6.4 ProGlove is liable for product liability losses and damage pursuant to the provisions of the German Product Liability Act.

6.5 ProGlove is liable for loss and damage arising from the breach of material obligations by ProGlove, its legal representatives or vicarious agents; material obligations are the main obligations that form the basis of the contract, were crucial for the conclusion of the contract, and upon whose fulfilment the End Client can reasonably rely (“Material Obligations” – Kardinalpflichten). If ProGlove has breached these Material Obligations through slight negligence, its liability shall be limited to the amount foreseeable by ProGlove at the time of the performance of the respective service.

6.6 In principle, any further liability of ProGlove is excluded.

6.7 The provisions of this Clause 6 shall apply to all compensation claims irrespective of the legal ground, including unlawful acts.

7. Fees and Payments

7.1 The fees for participation in the ProGlove CARE scheme shall be governed by the price lists applicable at the time the ProGlove Care contract is concluded. Any subsequent additions to the contract shall be charged, save as otherwise provided in the relevant supplement, according to the price list applicable at the time of the addition.

7.2 The total fees for the basic Term agreed in the ProGlove CARE contract (pursuant to Clauses 8.1 and 8.2) shall become due for the relevant ProGlove Mark in each case upon conclusion of the contract, and are payable in advance.

7.3 All other fees charged to the End Client are to be settled within 30 days of the invoice date.

7.4 All fees are stated exclusive of both the applicable statutory amount of value-added tax as revised from time to time and all other taxes and charges. These costs, if and to the extent incurred, are to be invoiced to the End Client.

7.5 All payments are to be made in Euros, even if the invoice indicates a different currency. The End Client shall bear any and all currency risk.

7.6 In case of a delay in payment by the End Client, ProGlove shall reserve the right to suspend or, if appropriate, terminate the performance of ProGlove CARE services. The statutory rights of ProGlove in case of a delay in payment shall remain unaffected hereby.

7.7 All services requested by the End Client that are not included in the scope of performance of the requested ProGlove CARE services, are to be performed on the basis of a cost estimate produced in advance by ProGlove and approved subsequently by the End Client, and shall be subject to the provisions of the present Clause 7.

7.8 The End Client can offset remuneration claims of ProGlove only against uncontested or non-appealable (rechtskräftigen) claims, and/or assert a right of retention, and/or plead the defence of non-performance of the contract (Einrede des nicht erfüllten Vertrages).

8. Start, Term and Termination of Contract

8.1 As regards timing, the ProGlove CARE services are to be made available to the End Client – subject to the proper conclusion of a contract pursuant to Clause 2 – from the date of supply of the respective ProGlove Mark (hereinafter “Delivery Date”) and provided for the duration of the Term agreed in the ProGlove CARE contract (hereinafter “Term”). The ProGlove CARE contractual services shall end upon expiry of the agreed Term; in particular, the Term shall not be extended due to the supply of a Replacement Device.

8.2 Save as otherwise agreed between the parties, the full Term of the contract shall be three (3) years starting from the Delivery Date (with retroactive effect if applicable).

8.3 The right of each party to terminate for good cause shall remain unaffected. A good cause shall exist in particular if the other party culpably infringes material contractual obligations and does not remedy the infringement, despite a prior written caution, within thirty (30) days of receiving such caution.

8.4 Any termination declaration requires text form to be valid.

9. Secrecy

9.1 The parties undertake to treat in confidence and use only for contractually agreed purposes all confidential information of which they gain knowledge in connection with this contract. Confidential information within the meaning of the this clause shall comprise information, documents, particulars and data designated as confidential or to be regarded as confidential in view of their nature. The parties undertake to grant access to confidential information only to employees entrusted with the performance of services in the context of the ProGlove CARE scheme. Each party is obliged at the request of the other party to have its employees sign a corresponding confidentiality undertaking and to present the onfidentiality undertaking to the other party. Neither party shall seek to register intellectual property rights based on confidential information of the other party.

9.2 Clause 9.1 does not apply to information that

(a) was already known to the party subject to the confidentiality undertaking before receiving same;

(b) is or becomes generally known without fault on the part of the party subject to the confidentiality undertaking;

(c) is disclosed to the party subject to the confidentiality undertaking by a person other than the other party without such person infringing contractual or statutory provisions when obtaining or disclosing the information;

(d) has been conceived independently by the party subject to the confidentiality undertaking;

(e) has to be disclosed pursuant to statutory regulations; or

(f) ProGlove is allowed to disclose due to an exemption from the confidentiality undertaking granted by the party whose confidential information is supposed to be protected.

10. Miscellaneous

10.1 The ProGlove CARE contract and all rights and obligations arising from the ProGlove CARE contract shall be governed by German law with exclusion of any referrals to other legal systems. The exclusive venue for disputes arising from or in connection with the ProGlove CARE contract shall be the Munich I District Court (Landgericht München I). ProGlove is entitled, however, at its discretion to bring an action against the End Client before a competent court of the place of performance or of the place in which ProGlove has its registered office is situated.

10.2 The End Client is not entitled to assign its rights and obligations arising from the the ProGlove CARE contract without the prior written consent of ProGlove.

10.3 If individual provisions of the ProGlove CARE contract are or become invalid or impracticable, or if the ProGlove CARE contract contains gaps, the validity of the other provisions of the ProGlove CARE contract shall remain unaffected thereby. In place of the invalid or impracticable provisions the parties shall agree upon a valid provision which they would likely have agreed upon, had they been aware of the invalidity, impracticability or omission of the respective provisions at the time the ProGlove CARE contract was concluded. If a provision is or becomes invalid due to the scope of performance agreed upon therein, the scope of performance agreed upon in the provision is to be modified to reflect the legally permissible measure.

10.4 Changes and/or additions to the ProGlove CARE contract shall be invalid save as done in writing. This shall also apply to a revision of this written form requirement. Declarations made by e-mail shall not satisfy the written form requirement.

10.5 This ProGlove CARE contract shall exclusively govern the legal relationship between the End Client and ProGlove with regard to the ProGlove CARE contract; no written or oral supplements have been agreed upon.
